The Management Proxy Circular contains information about the Annual Meeting of Shareholders that will take place at 2:00 p.m. ET on May 8, 2013 at the Art Gallery of Ontario, located at 317 Dundas Street West in Toronto. At the meeting, shareholders will be asked, among other things, to approve the advisory resolution as it relates to the company's executive compensation.
